Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions ("Affiliate Terms") govern your participation in The Memoria Studio Affiliate Program (the "Program"). They are in addition to, and should be read together with, our general Terms of Service and Privacy Policy. By submitting an affiliate application, you agree to be bound by these Affiliate Terms.

1. Eligibility & Application

To join the Program you must:

• Hold a registered account with a complete profile (name, email, phone number)
• Submit an application with accurate, truthful information
• Be at least 18 years old, or the age of majority in your jurisdiction
• Not already hold a suspended or rejected affiliate account under a different profile

Submitting an application does not guarantee approval. We review applications at our discretion and may approve, reject, or request more information before deciding. Approval status and any commission tier shown in your dashboard reflect our internal review — self-editing your account status through means other than an approved application is a violation of these Affiliate Terms.

2. Your Referral Link & Attribution

Once approved, you'll receive a unique referral link and code from your affiliate dashboard. When someone visits our site through your link:

• We record a click and attribute that visitor to you for up to 30 days
• Attribution is last-click: if the same visitor later arrives through a different affiliate's link, the most recent link takes credit
• Commission is only credited once an order is placed and paid for during the attribution window

You may only use referral links and codes issued to you. You may not generate, request, or use another affiliate's link or code, and you may not attempt to alter, spoof, or interfere with attribution tracking (including cookie manipulation, click injection, or automated/bot traffic).

3. Commission Structure

Commission is calculated as a percentage of the paid order amount, based on the commission tier assigned to your account. Tiers and rates are set by us and may be updated from time to time; where an order redeems an affiliate-linked discount voucher, commission may be calculated on either the discounted or original price, at our discretion, as disclosed in your dashboard.

Commission is credited as "pending" when an order is paid, and is only confirmed once the order is no longer eligible for refund or cancellation. We reserve the right to change commission rates and tier requirements going forward; changes will not retroactively reduce commission already confirmed on past orders.

4. Affiliate Discount Codes

We may, at our discretion, link a discount voucher to your affiliate account so that customers who use your link or code receive a discount at checkout. These codes are configured and issued by us — you may not create, modify, or promise discount terms on our behalf beyond what we've issued to you. A discount code we've linked to your account remains our property and may be changed or revoked at any time.

5. Prohibited Conduct

The following are strictly prohibited and will result in forfeiture of the associated commission and may result in suspension or termination of your affiliate account:

• Self-referral — using your own link or code to purchase for yourself, or coordinating with someone else to do so on your behalf
• Creating multiple affiliate accounts to circumvent limits or earn duplicate commissions
• Cookie stuffing, click fraud, bot traffic, or any technique designed to inflate clicks or falsely attribute sales
• Spam, unsolicited bulk messaging, or misleading advertising to promote your link
• Bidding on our brand name or trademarks in paid search advertising
• Any attempt to place, cancel, or manipulate orders solely to generate or inflate commission

We actively monitor for the conduct above. Commission found to result from prohibited conduct will be reversed even if already marked paid, and may be deducted from future payouts.

6. Refunds & Cancellations

If an order that earned you commission is later refunded or cancelled, the associated commission will be reversed. If the commission was already paid out to you, the reversed amount will be deducted from your future payouts or balance.

7. Payouts

Confirmed commission accumulates as your payout balance, visible in your affiliate dashboard. Payouts are processed by us at our discretion and are not on a fixed automatic schedule; you may contact us to request a payout of your available balance. You are solely responsible for reporting and paying any taxes owed on commission you earn.

8. Suspension & Termination

We may suspend or terminate your affiliate account at any time, with or without notice, for violation of these Affiliate Terms, suspected fraud, or at our discretion. A suspended account earns no new commission while suspended. You may stop participating in the Program at any time by contacting us; any confirmed, unpaid commission earned before your account was suspended or terminated for reasons other than fraud will still be paid out.

9. Relationship

You participate in the Program as an independent affiliate, not as an employee, partner, joint venturer, or agent of The Memoria Studio. You have no authority to make representations, warranties, or commitments on our behalf.

10. Changes to These Terms

We may update these Affiliate Terms from time to time. Continued participation in the Program after changes are posted constitutes acceptance of the updated terms.

Limitation of Liability

The Memoria Studio shall not be liable for any indirect, incidental, special, or consequential damages arising from your participation in the Program, including lost commission due to technical issues, attribution disputes, or Program changes.

Governing Law and Jurisdiction

These Affiliate Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising under or in connection with these Affiliate Terms shall be subject to the exclusive jurisdiction of the courts in Malaysia.
